KKR Financial Holdings announces public offering of Convertible Senior Notes

KKR Financial Holdings LLC (NYSE: KFN) (the “Company”) today announced pricing of its public offering of Convertible Senior Notes due 2017 (the “Notes”).  The offering is expected to close on January 15, 2010, subject to customary closing conditions.  The Notes are being offered in an underwritten registered public offering.

Total aggregate gross proceeds from the offering are approximately $150.0 million, exclusive of any proceeds attributable to the underwriters’ possible exercise of their over-allotment option. In connection with this offering, the Company has granted the underwriters an over-allotment option to purchase up to $22.5 million aggregate principal amount of additional Notes.

Interest on the Notes will be paid semi-annually at a rate of 7.50 percent per year and the Notes will mature on January 15, 2017 unless earlier repurchased, redeemed or converted.  The Notes will be convertible into cash, the Company’s common shares (the “Common Shares”) or a combination thereof at the Company’s election. The Notes will be convertible at an initial conversion rate of 122.2046 Common Shares per $1,000 principal amount of Notes, which is equivalent to an initial conversion price of approximately $8.18 per Common Share, subject to adjustment in certain circumstances.

Citi, BofA Merrill Lynch and J.P. Morgan are acting as joint book-runners for the offering. KKR Capital Markets LLC is acting as a co-manager of the offering.

The total net proceeds to the Company from the offering of the Notes will be approximately $145.5 million, exclusive of any proceeds attributable to the underwriters’ possible exercise of their over-allotment option.  The Company intends to use substantially all of the net proceeds from the offering of the Notes to repurchase or repay a portion of its existing senior indebtedness, with the remaining proceeds to be used for general corporate purposes.
